TERMS OF SERVICE

These Terms of Service, together with the Business Golf Club Code of Conduct (the “Code”) and any other policy or agreement that expressly incorporates these Terms (collectively, the “Agreement”), are entered into between you and Pierce Patrick, doing business as Business Golf Club (“BGC,” “we,” “us,” or “our”). The Agreement governs your access to and use of https://businessgolf.club, any membership application, member portal or platform, communications, matching services, organized golf rounds, events, and related services offered by BGC (collectively, the “Service”).

BY CLICKING “I AGREE” OR A SIMILAR CONFIRMATION, PURCHASING OR USING A MEMBERSHIP, CONFIRMING A BGC-ORGANIZED ROUND, OR OTHERWISE USING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT.

1. BUSINESS GOLF CLUB SERVICES

1.1 Service. BGC is a curated membership and networking service designed to introduce members through golf. The Service may include reviewing membership applications, maintaining member profiles, matching members into foursomes or other groups, proposing or arranging tee times, communicating round details, organizing member events, facilitating introductions, and offering other community or membership benefits.

1.2 BGC Is Not a Golf Course Operator. Unless BGC expressly states otherwise in writing, BGC does not own, operate, manage, maintain, supervise, or control the golf courses, practice facilities, restaurants, transportation providers, or other third-party venues used for BGC rounds or events. Those third parties may impose their own rules, waivers, cancellation policies, fees, dress codes, pace-of-play standards, and other requirements.

1.3 No Guaranteed Matches or Outcomes. BGC does not guarantee that you will be matched for any particular date, course, city, skill level, industry, business objective, or frequency. BGC also does not guarantee that any introduction will result in a friendship, client relationship, transaction, investment, employment opportunity, business opportunity, or other outcome.

2. ELIGIBILITY, APPLICATIONS, AND ACCOUNTS

2.1 Eligibility. You must be at least 18 years old and legally able to enter into a binding contract. You must comply with the Agreement, the Code, applicable law, golf-course rules, and reasonable safety instructions associated with any round or event.

2.2 Curated Membership. Membership may be application-based. BGC may accept, decline, waitlist, pause, or discontinue an application or membership in its discretion, subject to applicable law. BGC may consider information you provide about your professional background, golf experience, interests, availability, location, and reasons for joining when evaluating applications and creating matches.

2.3 Accurate Information. You agree to provide truthful, current, and complete information and to promptly update material changes. You may not impersonate another person, materially misrepresent your identity or professional background, create misleading profiles, or use another person’s account or membership.

2.4 Account Security. If the Service includes an account or portal, you are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account. Notify BGC promptly if you believe your account has been compromised.

2.5 Background Checks. Unless BGC expressly states otherwise, BGC does not conduct criminal, professional-license, financial, credit, investment, or other background checks on members and does not independently verify every statement made by a member.

3. MEMBERSHIP, MATCHING, AND ROUNDS

3.1 Membership Benefits. Your membership benefits are those described on the Website, during checkout, or in another written offer from BGC. Benefits may change as the Service evolves, subject to applicable law and any specific written commitments made to you.

3.2 Matching. BGC may use information from your application or profile - including city, schedule, travel preferences, golf experience or handicap, professional background, interests, budget, and other compatibility criteria - to create groups. Matching is inherently subjective and BGC does not warrant compatibility.

3.3 Round Confirmation. Before a proposed round, BGC may ask whether you are available and interested in playing. You are not required to participate in every proposed round. Once you affirmatively confirm a tee time or otherwise accept a spot, you are expected to honor that commitment or provide timely notice under Section 4.

3.4 Course Rules. You must comply with all rules of the host golf course, including dress code, pace of play, cart rules, alcohol policies, weather procedures, handicap requirements, and instructions from course staff. The course may remove a player or deny access independently of BGC.

3.5 No Transfer of Spots. Unless BGC approves otherwise, your membership and confirmed place in a round are personal to you and may not be transferred, resold, or assigned to another person.

4. TEE TIMES, COURSE FEES, CANCELLATIONS, AND NO-SHOWS

4.1 Course Charges. Unless a specific offer says otherwise, membership fees do not include green fees, cart fees, caddie fees, range fees, food and beverage charges, transportation, equipment rental, gratuities, or other golf-course or event expenses. You are responsible for the charges associated with your participation.

4.2 Payment to Courses or BGC. Depending on the round, you may pay the golf course directly or BGC may collect or prepay certain charges on your behalf. If BGC collects a course or event charge, the applicable amount and any material refund or cancellation terms will be communicated before or at the time you confirm or pay.

4.3 Forty-Eight-Hour Cancellation Policy. After you confirm a round, you should notify BGC at least 48 hours before the scheduled tee time if your plans change. This gives BGC a reasonable opportunity to fill the spot and helps preserve the experience for the other members in the group.

4.4 Late Cancellations and No-Shows. If you cancel within 48 hours of a confirmed tee time or fail to appear, BGC may record a late cancellation or no-show, restrict future bookings, suspend or terminate membership for repeated occurrences, and require you to pay any nonrefundable or unrecoverable course or event charge attributable to your confirmed spot, to the extent permitted by law. BGC will not charge a penalty that was not disclosed or reasonably connected to an actual reservation or stated membership policy.

4.5 Course Cancellations and Weather. Courses may cancel, delay, shorten, move, or modify tee times because of weather, maintenance, tournaments, course conditions, staffing, or other circumstances outside BGC’s control. BGC does not guarantee refunds from third parties; any refund or credit for a third-party charge is subject to the applicable provider’s policy and applicable law.

5. FEES, BILLING, RENEWAL, AND CANCELLATION

5.1 Membership Fees. Paid memberships are charged at the price and billing interval disclosed when you subscribe. Applicable taxes may be added where required.

5.2 Payment Processing. Payments are processed by Stripe or another payment provider that BGC may disclose to you. BGC does not directly receive or store your full payment-card number. Payment processing is subject to the applicable payment provider's terms and privacy practices.

5.3 Automatic Renewal. If your membership is sold as an automatically renewing subscription, it will renew at the disclosed interval until you cancel, subject to applicable law. At checkout, BGC will disclose the recurring nature of the charge, price, billing frequency, and cancellation method.

5.4 Membership Cancellation. You may cancel an automatically renewing membership using the method described on the Website, in your account, or by contacting BGC. Unless otherwise required by law or stated in a specific offer, cancellation stops future renewals and does not retroactively refund amounts already paid for the current billing period.

5.5 Refunds. Except where required by law or expressly stated in a specific offer, membership fees are nonrefundable after they are charged. BGC may issue credits or refunds in its discretion. Course and event charges are governed by Section 4 and any disclosed third-party policy.

5.6 Price Changes. BGC may change membership pricing for future billing periods by providing any notice required by applicable law. A price change will not retroactively increase fees already paid.

6. COMMUNICATIONS, EMAIL, AND SMS

6.1 Service Communications. BGC may send administrative or transactional communications reasonably necessary to provide the Service, including application updates, match invitations, tee-time details, changes, payment notices, safety communications, and support responses.

6.2 Marketing. Marketing emails or text messages will be sent only as permitted by applicable law. Where separate consent is legally required for promotional SMS or other marketing, BGC will request that consent separately. Consent to receive marketing texts is not a condition of purchasing a membership unless legally permitted and clearly disclosed.

6.3 Opt-Out. You may opt out of marketing email using an unsubscribe link and may opt out of marketing SMS using the instructions provided in the message, such as replying STOP where supported. Opting out of marketing does not necessarily prevent non-marketing messages needed to administer a confirmed round or membership.

7. MEMBER CONDUCT AND ACCEPTABLE USE

7.1 Code of Conduct. The Business Golf Club Code of Conduct is incorporated into this Agreement. You agree to treat members, guests, BGC personnel, course employees, and other persons respectfully and to follow reasonable safety and etiquette standards.

7.2 No Aggressive Solicitation. BGC is intended to foster authentic relationships, not to function as a prospecting list. You may not use member information or BGC introductions for spam, mass outreach, repeated unwanted sales pitches, coercive recruiting, pyramid or multi-level marketing, fraudulent schemes, or unsolicited investment or fundraising solicitations. Normal consensual business conversation and mutually welcomed follow-up are permitted.

7.3 Prohibited Conduct. You may not harass, threaten, stalk, discriminate against, defraud, impersonate, intimidate, exploit, or endanger another person; engage in unlawful conduct; misuse member information; interfere with BGC systems or moderation; or engage in behavior that BGC reasonably determines creates a safety, legal, or community-integrity risk.

7.4 Alcohol and Substances. If alcohol is available at a course or event, you are responsible for consuming responsibly and complying with applicable law and venue policy. You may not drive while impaired, pressure others to drink, bring illegal drugs, or engage in conduct that creates an unreasonable safety risk.

8. THIRD-PARTY COURSES, SERVICES, AND MEMBER INTERACTIONS

8.1 Third Parties. Golf courses, booking platforms, payment processors, restaurants, transportation providers, and other third parties are independent from BGC unless expressly stated otherwise. BGC is not responsible for their acts, omissions, availability, pricing, policies, products, services, or facilities, except to the extent liability cannot be excluded by law.

8.2 Member-to-Member Dealings. Any business, investment, employment, purchase, partnership, referral, loan, contract, or other transaction between members is solely between the participating members. BGC does not provide legal, financial, investment, tax, employment, or due-diligence advice and does not endorse or guarantee a member’s qualifications, finances, business, products, services, representations, or intentions.

8.3 Independent Judgment. You are responsible for conducting your own due diligence before entering any transaction or sharing sensitive personal, financial, business, or confidential information with another member.

9. GOLF AND IN-PERSON ACTIVITY RISKS; ASSUMPTION OF RISK

9.1 Inherent Risks. Golf and in-person gatherings involve inherent and other risks, including being struck by golf balls or clubs; slips, trips, and falls; uneven terrain; wildlife; heat, cold, lightning, storms, sun exposure, and other weather; golf-cart operation or collision; equipment failure; physical exertion; illness or communicable disease exposure; food or alcohol-related risks; theft or property damage; travel and transportation risks; and acts or omissions of other participants, course staff, or third parties.

9.2 Voluntary Participation. Your participation in any round, event, meetup, travel activity, or other in-person interaction is voluntary. You are responsible for evaluating your own fitness, skill, equipment, transportation, surroundings, and comfort level and may decline or leave an activity if you believe conditions are unsafe.

9.3 Assumption of Risk. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU KNOWINGLY AND VOLUNTARILY ASSUME THE INHERENT AND REASONABLY FORESEEABLE RISKS ASSOCIATED WITH GOLF, TRAVEL TO AND FROM ROUNDS, USE OF GOLF CARTS AND FACILITIES, ALCOHOL CONSUMPTION, WEATHER, AND IN-PERSON INTERACTIONS WITH MEMBERS AND THIRD PARTIES. Nothing in this Agreement waives any right or liability that cannot lawfully be waived.

9.4 Emergency and Safety Decisions. BGC may cancel, pause, relocate, or end a round or event based on safety concerns, but BGC does not undertake a duty to supervise every member or continuously monitor course or weather conditions. Members must follow course staff and emergency instructions.

10. TERM, SUSPENSION, AND TERMINATION

10.1 Term. This Agreement begins when you first accept it, purchase a membership, or use the Service and continues while you use the Service or maintain a membership.

10.2 BGC Enforcement. BGC may warn, restrict, suspend, or terminate a member for violating the Agreement or Code, failing to pay amounts due, repeated late cancellations or no-shows, unsafe or disruptive conduct, misuse of member information, material misrepresentation, or other conduct that reasonably threatens member safety, trust, or the integrity of the community.

10.3 Effect of Termination. Termination ends your right to use membership-only portions of the Service. Provisions that by their nature should survive - including payment obligations, ownership, risk allocation, disclaimers, limitations of liability, indemnification, dispute resolution, and general provisions - survive termination to the extent enforceable.

11. OWNERSHIP, MEMBER DATA, AND FEEDBACK

11.1 BGC Materials. The BGC name, branding, Website, matching processes, written materials, designs, software, and other content provided by BGC are owned by BGC or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the Service, no ownership rights are transferred to you.

11.2 Member Data. You retain ownership of information and content you provide, subject to the limited rights reasonably necessary for BGC to operate the Service as described in the Privacy Policy. You represent that you have the right to provide that information.

11.3 Feedback. If you voluntarily provide suggestions or feedback about BGC, you grant BGC a nonexclusive, perpetual, worldwide, royalty-free right to use that feedback to improve or promote the Service, provided BGC does not publicly attribute private feedback to you without permission unless otherwise permitted by law.

12. DISCLAIMERS AND LIMITATION OF LIABILITY

12.1 Service “As Is.” TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” BGC DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY STATED IN THIS AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT THEY MAY BE DISCLAIMED.

12.2 No Guarantee Regarding Members. BGC DOES NOT GUARANTEE THE IDENTITY, BACKGROUND, CHARACTER, SAFETY, BUSINESS CREDIBILITY, FINANCIAL CONDITION, PROFESSIONAL QUALIFICATIONS, PRODUCTS, SERVICES, INTENTIONS, OR CONDUCT OF ANY MEMBER. YOU ARE RESPONSIBLE FOR YOUR OWN INTERACTIONS AND DUE DILIGENCE.

12.3 Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY LAW, BGC AND THE OPERATOR’S REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA ARISING FROM THE SERVICE, A ROUND, AN EVENT, A THIRD-PARTY SERVICE, OR A MEMBER INTERACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.4 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF BGC AND ITS REPRESENTATIVES ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BGC FOR MEMBERSHIP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. This cap does not apply where applicable law prohibits the limitation.

12.5 Non-Waivable Rights. Some jurisdictions do not permit certain warranty disclaimers or liability limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law and do not limit liability that legally cannot be limited, including where applicable for fraud, willful misconduct, or other non-waivable conduct.

13. INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless BGC, the operator, and their representatives from third-party claims, losses, damages, liabilities, and reasonable costs arising from your violation of the Agreement or Code, your unlawful or unsafe conduct, your misuse of another person’s information or rights, or claims arising from a transaction or dispute you independently enter into with another member. This obligation does not require you to indemnify a person for liability that cannot lawfully be shifted to you.

14. DISPUTE RESOLUTION

14.1 Informal Resolution. Before filing a formal claim, you and BGC agree to make a good-faith effort to resolve the dispute by written notice to the other party describing the issue and requested resolution. Notices to BGC should be sent to hello@businessgolf.club.

14.2 Court Proceedings and Venue. If a dispute cannot be resolved informally, either party may bring a claim in a court of competent jurisdiction. Subject to applicable law, any judicial proceeding arising out of or relating to this Agreement or the Service must be brought in a state or federal court located in Kentucky, and each party consents to the personal jurisdiction of those courts.

14.3 Non-Waivable Rights. Nothing in this Section limits any right or remedy that cannot lawfully be waived, or prevents either party from seeking relief in another forum when applicable law requires or permits it.

15. GENERAL

15.1 Updates. BGC may update this Agreement from time to time. Material changes will be communicated as required by applicable law. The “Last Updated” date identifies the most recent revision.

15.2 Governing Law. This Agreement is governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws principles, except to the extent federal law applies.

15.3 Severability. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

15.4 No Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

15.5 Assignment. You may not transfer this Agreement or your membership without BGC’s written consent. BGC may assign the Agreement in connection with a reorganization, sale, transfer of the business, or similar transaction, subject to applicable law.

15.6 Force Majeure. BGC is not responsible for delay or failure caused by events beyond its reasonable control, including severe weather, natural disasters, public-health events, course closures, governmental actions, utility or communications failures, labor disputes, or transportation disruptions.

15.7 Entire Agreement. The Agreement, including the Code and Privacy Policy where incorporated, constitutes the entire agreement between you and BGC regarding the Service, except for any separate written terms expressly agreed by the parties.
